These Terms of Service govern all sales of software licences operated by ALTWY SAS.
Strict B2B Limitation - Our software products and services are exclusively intended for professional use by corporate entities, businesses, self-employed professionals, and legal entities ("Customer" / "B2B"). By purchasing a licence, you certify that you are acting solely in a professional capacity.
No Consumer Right of Withdrawal - As this sale is exclusively B2B, the statutory right of withdrawal applicable to consumer purchases (droit de rétractation) under European consumer protection laws does not apply.
Licence Grant - Upon confirmation of payment, ALTWY SAS grants the Customer a non-exclusive, non-transferable, worldwide licence to use the software for internal business operations.
Duration - The licence is granted for a fixed period of one (1) year.
Non-Automatic Renewal - The licence does NOT automatically renew. To continue using the software after one year, the Customer must manually purchase a new annual licence.
Software Delivery - Delivery is performed digitally "immediately" (maximum 72h) upon payment confirmation by providing a download link and a licence key sent to the Customer's designated email address.
All sales are final. Once a software licence key has been generated and/or dispatched to the Customer, no refund or cancellation will be provided.
Updates - The annual licence includes access to software updates released by ALTWY SAS during the active 1-year subscription period.
Technical Support - ALTWY SAS provides technical support for the software under the following conditions:
Availability: Monday to Friday, 9:00 AM to 6:00 PM Paris Time (CET/CEST), excluding French public holidays

"As Is" Software - The software is provided "as is" without warranty of any kind, express or implied.
Customer Responsibilities - The Customer is solely responsible for:
The installation, configuration, and integration of the software within its own technical infrastructure
Ensuring that system prerequisites are met
Data Backups: The Customer bears full and exclusive responsibility for performing regular data backups. ALTWY SAS shall not be held liable for any loss, corruption, or compromise of data.
Limitation of Liability - In the event of a major software bug or defect that ALTWY SAS is unable to resolve within a reasonable timeframe, ALTWY SAS’s maximum aggregate liability shall be strictly limited to the price paid by the Customer for the affected licence during the current 1-year term. Under no circumstances shall ALTWY SAS be liable for indirect, incidental, consequential, or lost business damages.
These Terms of Service are governed by and construed in accordance with French Law.
In the event of any dispute arising out of or in connection with the validity, interpretation, performance, or termination of these Terms, the parties agree to submit to the exclusive jurisdiction of the Commercial Court of Montpellier (Tribunal de Commerce de Montpellier), France.
